ROLE OBJECTIVE
To provide legal and secretarial support to Company’s corporate secretarial and legal matters.

MAIN ACTIVITIES/TASKS

  • Provide legal secretarial and/or general administrative support
  • Assist with managing the trademark portfolio database, including updating registrations, renewal oppositions and liaising with external laws firms.
  • Prepare power of attorney and arranging notarization or legalization

ROLE OBJECTIVE:

The Deputy Director, Corporate Development will assist the CFO on investment strategies of the company, its group of subsidiaries and affiliates in areas including but not limited to corporate development, mergers and acquisitions, commercial, regulatory, and legal compliance issues. He/she is responsible for performing due diligence, developing financial models, valuations and providing detailed analysis to support the management’s strategic plans and investment interest in all acquisition activities of the company. As a key leader of the corporate finance team, he/she will also play a key role in the entire transaction process, from origination to due diligence and through to the final stages of completion. The scope of work includes researching acquisition targets as identified by the management, engaging the target companies, liaising and coordinating with cross-functional teams which may comprise internal & external lawyers, accountants, functional managers and consultants.

MAIN ACTIVITIES/TASKS

  • Lead, manage and oversee corporate development and M&A activities.
  • Perform valuation of assets, cash flow analysis, financial due diligence, financial modelling etc to support corporate development and M&A activities, capital raising and financial reporting.
  • Perform due diligence (e.g. identify and highlight any key operational risk, rising operational cost, declining revenue, understatement of expenses etc) and presenting findings and options to the management.
  • Provide insight to any distinct shift in company’s strategies that may be inconsistent to long term strategies and propose alternatives to management which may include continued ownership, divestment of stake etc.
  • Provide detailed analysis of company’s industry position and size relative to peers based on key historical and forecasted financial indicators.

  • Build and maintain relationships with investors, investment funds and banks to meet the funding needs of the company’s corporate development and M&A activities.
  • Work closely with the General Counsel to review compliance and risk for all legal documents and agreements related to mergers and acquisitions and general corporate development affairs.
  • Work closely with the CFO to manage investor relations (e.g. communication of quarterly financial results, communication with analyst, investors’ 1-on-1 meetings, conferences and roadshows etc).

  • Develop and implement the training programmes for MindChamps Infant & Toddler Teachers and Educarers.
  • Ensure that the centres deliver the MindChamps Infant & Toddler curriculum in accordance with the guidelines and parameters established and in accordance with the training and curriculum framework.
  • Ensure that the learning environment, resources and delivery of the MindChamps Preschool Infant & Toddler Programme are consistent with the standards set.
  • Supervise and mentor MindChamps Preschool Principals, in order to ensure the supervision of the implementation of the MindChamps Infant & Toddler curriculum is met at the standards set for the Principals.
  • Be responsible for identifying MindChamps Infant & Toddler Teachers’ training needs and be actively involved in the professional upgrading of our Educarers’ skill-sets and mindset.
